Business Formation

Firm lawyers regularly work on business formation, including the formation of the Limited Liability Companies (LLCs), corporations, subchapter S corporations, joint venture agreements and partnerships on behalf of its many developer, real estate, contractor and business clients. As a result of our experience in construction and real estate, we also regularly advise clients on joint venture, partnership and similar project-based formation issues. The Firm is well equipped to advise business clients on the appropriate structure for a given development or project.

The Firm's attorneys have represented clients in copyright and trademark registration, and in copyright and trademark disputes. Of particular interest is the Firm's work obtaining copyrights for construction advertising and architectural drawings. Congress relatively recently allowed a copyright for architectural drawings, and many of those in the construction industry have not yet realized the potential that results from having a valid copyright to this work.

The Firm is currently involved in significant litigation over trademarks and unfair business practices. The attorneys have extensive experience in trade name protection, trade secret claims and similar state and federal protection of intellectual property.

Employment Law

Clausen Law Firm represents many businesses, primarily mid-sized and small businesses. As a result of recurring employment issues that their clients experience, the attorneys have developed extensive experience in advising employers on employment law issues. The Firm's background in employment law is specific, however. Their focus is on employment issues relating to contracts, particularly with respect to upper level management employees and part owners. These types of issues relate to compensation, particularly payment of bonuses and other incentive compensation, non-competition agreements (non-competes), and wrongful termination contract issues. The Firm also has advised a number of clients on wage and hour issues, particularly for the construction industry.

Computer & Technology

The Firm's attorneys have significant experience representing smaller technology companies, particularly in litigation matters. The Firm also has represented major corporations with household names in technology-related litigation. We are familiar with corporate control, purchase and sale, and trade practices issues related to technology companies and disputes.

Collection, Judgments and Bankruptcy

Our attorneys have developed extensive experience in the collection of claims and enforcement of judgments, including representation of clients with claims in bankruptcy. The firm has also drafted and collected on scores of garnishments, executions and foreclosure procedures to collect on behalf of the Firm's clients. The Firm utilizes paralegals and legal assistants extensively to cost-effectively and efficiently represent its clients in the context of collecting and enforcing judgments and other obligations owed to its clients.
